1. Who we are
Tradeswift Broking Private Limited (“the Company”, “we”, “us”) is registered with the Securities and Exchange Board of India as a Research Analyst and is enlisted with the Research Analyst Administration and Supervisory Body (RAASB) administered by BSE Limited. The Company is also registered as a stock broker and a depository participant; research services are provided through a separately identifiable division maintained at arm's length from those activities.
2. Scope
These Terms govern your use of this website and your purchase of research analyst services online. By making a payment you confirm that you have read and accepted these Terms, the Refund Policy, the Cancellation Policy and the Privacy Policy.
These Terms are a summary for online purchase. The complete Terms and Conditions of research services, including the Most Important Terms and Conditions (MITC) prescribed by SEBI, are provided to you during onboarding and are the binding contract between us. In case of any inconsistency, the signed Terms and Conditions and MITC prevail over this page.
3. What we provide
- Research reports and recommendations on listed securities, including equity and exchange traded derivatives, issued from time to time.
- Recommendations are issued on a standalone basis as at the date of the report. We do not operate a rating system and no rating is carried forward from one report to another.
- We do not provide investment advice, portfolio management, fund management or execution services under this registration. We do not handle or hold client funds or securities for research services.
- Every recommendation is an opinion based on analysis of publicly available information. It is not a guarantee, and it is not tailored to your personal financial situation unless separately agreed under a different registration.
4. Eligibility and commencement of services
- You must be at least 18 years of age, competent to contract, and must hold a valid PAN.
- Services commence only after onboarding is complete, which means: KYC completed, consent given to the Terms and Conditions including the MITC, and the applicable fee received through banking channels. The date on which the last of these is completed is recorded as your service start date.
- Any sample recommendation, trial call, promotional material or other content received before that date is not a research service rendered to you as a client and must not be acted upon.
- Within the Tradeswift group you may avail either research services or distribution services in respect of securities, but not both. This applies to you and your dependent family members.
5. Fees and payment
- For individual and Hindu Undivided Family clients who are not accredited investors, the fee payable is subject to the ceiling prescribed by SEBI/RAASB, presently Rs. 1,51,000 per annum per family for all research services. This ceiling excludes statutory charges and does not apply to non-individual clients, accredited investors, or institutional investors seeking proxy adviser recommendations.
- All fees are exclusive of GST and other statutory charges, which are payable by you in addition.
- Fees may be charged in advance if agreed, not exceeding the period stipulated by SEBI from time to time, presently one year.
- Payment is accepted only through banking channels — credit card, debit card, net banking, UPI, NEFT, RTGS, IMPS or cheque. Cash payment is not accepted under any circumstances.
- Payment must be made from a bank account, card or UPI ID belonging to you. We do not accept payment from third parties.
- You may optionally pay through the Centralised Fee Collection Mechanism (CeFCoM) operated by BSE Limited. CeFCoM is an optional mechanism and use of the payment gateway on this website is an alternative to it, not a substitute for the requirement that fees reach the Company's registered account.
- Before paying, you may verify our registered bank account and UPI ID on the SEBI Check facility.
6. No assured returns
We do not offer, and have never offered, any assured, guaranteed or fixed return on any recommendation, expressly or by implication. Any person offering you such a scheme in our name is not acting on our behalf and should be reported to us immediately.
7. Risk
Investment in the securities market is subject to market risk. Read all related documents carefully before investing. Past performance is not indicative of future results. Derivatives and commodity derivatives are complex and high-risk products, losses on which may exceed the margin deposited and the entire capital committed. The complete risk factors, including product-specific risks, are set out in the Terms and Conditions provided at onboarding.
8. Your obligations
- Provide accurate information and inform us promptly of any change in your contact details, PAN, bank details or dependent family declaration.
- Keep your login credentials confidential. Never share the credentials of your trading, demat or bank accounts with us or with anyone else.
- Make your own investment decisions and apply your own judgement. Seek clarification from us before acting on any recommendation you do not understand.
- Do not reproduce, redistribute, forward or publish any research report. Reports are licensed to you for personal, non-commercial use only and remain our intellectual property.
9. Communication
Research reports and recommendations will be sent to the mobile number, email ID and messaging number you register with us. You confirm that these belong to you. All such communication is recorded and retained for five years as required by the RA Regulations.
10. Suspension and termination
- You may cancel at any time in accordance with the Cancellation Policy.
- We may suspend delivery if agreed fees remain unpaid after reasonable notice; this does not affect your refund rights for any unexpired paid period.
- We may terminate services where information furnished is false, where our regulatory obligations require it, or where research content is redistributed or misused.
- We may suspend or terminate services if our SEBI registration is suspended or cancelled, in which case fees are refunded on the basis set out in the Refund Policy.
11. Grievance redressal
Write to our Compliance Officer at complianceofficer.ra@tradeswift.net or call 0141-4050505. We will endeavour to resolve your grievance within 7 (seven) business working days, or such timeline as SEBI may specify. If you are not satisfied, you may lodge a complaint with SEBI on the SCORES portal at https://scores.sebi.gov.in, or refer the dispute to the Online Dispute Resolution portal at https://smartodr.in. 12. Standard disclaimer
“Registration granted by SEBI, enlistment with BSE and certification from NISM in no way guarantee performance of the intermediary or provide any assurance of returns to investors.”
13. Governing law
These Terms are governed by the laws of India. Subject to the dispute resolution mechanism specified by SEBI, the courts at Jaipur, Rajasthan have exclusive jurisdiction.
14. Changes
We may amend these Terms to reflect changes in law or in our services. The revised version will be published on this page with a new version number and date. Material changes affecting your existing subscription will be notified to you, and your consent will be obtained where required.
